These Terms and Conditions ("Terms") govern your use of the BHX Group website at bhxgrp.com, all services offered by BHX Group, and any SMS, email, or phone communications you receive from us.

Please read these Terms carefully before using our services or submitting your contact information. By accessing our website, submitting a form, or opting in to receive communications from BHX Group, you confirm that you have read, understood, and agreed to be bound by these Terms.

These Terms should be read alongside our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, please do not use our website or services.

1Acceptance of Terms

By using bhxgrp.com or any BHX Group service — including submitting a consultation request, booking form, or opting in to SMS communications — you confirm that:

  • You are at least 18 years of age
  • You have the legal authority to enter into these Terms on your own behalf or on behalf of a business
  • You agree to comply with all applicable local, state, federal, and carrier regulations
  • The information you provide to BHX Group is accurate, current, and complete
  • You have read and agree to our Privacy Policy

These Terms apply to all visitors, leads, prospects, and clients of BHX Group.

2Services Provided

BHX Group is a performance-based lead generation and digital marketing agency serving home service companies, medspas, multi-location brands, and other service businesses. Our services include but are not limited to:

  • Google Ads and paid search campaign management
  • Meta / Facebook Ads management
  • GoHighLevel (GHL) CRM setup, automation, and management
  • Search engine optimization (SEO) for local and multi-location businesses
  • Sales funnel and landing page design
  • Marketing strategy, analytics, and accountability reporting
  • Website and conversion rate optimization
BHX Group reserves the right to modify, suspend, or discontinue any service at any time. We do not guarantee specific revenue outcomes, lead volumes, or ad performance results. Marketing results depend on many variables outside of our direct control.

3SMS Messaging Program Terms

⚠️ This section constitutes the Mobile Terms of Service for the BHX Group SMS Program, as required by U.S. carrier standards and CTIA Messaging Principles for A2P 10DLC compliance. These terms apply to all SMS communications sent from BHX Group to individuals who have opted in.

Program Description

By opting in, you agree to receive text messages from BHX Group related to one or both of the following message categories:

  • Transactional / Non-Marketing Messages: Consultation confirmations, appointment reminders, scheduling updates, follow-up messages, and direct responses to inquiries you have submitted.
  • Marketing / Promotional Messages: Promotional offers, new service announcements, lead generation insights, and marketing updates. These are only sent when you have explicitly opted in to this separate category.

Message Frequency

Message frequency varies based on your engagement and active services. You may receive up to 4–8 messages per month. Promotional message frequency will not exceed 4 per month unless otherwise communicated to you in advance.

Message & Data Rates

Message and data rates may apply. These charges are billed by your wireless carrier and are not controlled by BHX Group. Please contact your wireless provider for details about your messaging plan.

Supported Carriers

Our SMS program is supported by all major U.S. carriers including AT&T, Verizon, T-Mobile, and others. Support may vary for smaller regional carriers. BHX Group is not responsible for message delivery issues attributable to carrier-side limitations.

Consent Is Not a Condition of Purchase

Opting in to receive SMS messages from BHX Group is never required to purchase, access, or receive any service. You may decline SMS communications at any time without any impact on your service relationship with BHX Group.

4User Consent & Opt-In

BHX Group only sends SMS messages to individuals who have provided explicit, documented consent through one of the following verified methods:

Web Form Opt-In

You check an unchecked SMS consent checkbox on a BHX Group web form at bhxgrp.com. The checkbox is never pre-selected. It is never required to submit the form. The Privacy Policy and Terms & Conditions links are clearly visible at the point of opt-in.

Keyword Opt-In

You text a keyword such as START or JOIN to our business SMS number, initiating the opt-in process.

Verbal Opt-In

During a sales discovery or onboarding call, where your consent is explicitly stated, verbally confirmed, and documented in our CRM system with a date and time stamp.

Double Opt-In (Where Applicable)

For certain campaigns, after your initial opt-in you will receive a confirmation text asking you to reply YES to verify your subscription. You will not be enrolled in that campaign or receive further messages until your confirmation is received.

By opting in, you confirm that the mobile number provided belongs to you and that you are the authorized account holder for that number. Providing someone else's phone number without their consent is a violation of these Terms and applicable law.

5Opt-Out & Help Instructions

How to Opt Out

You may cancel your SMS subscription at any time by replying to any BHX Group text message with one of the following standard opt-out keywords:

STOP CANCEL QUIT END UNSUBSCRIBE

After sending any opt-out keyword, you will receive one final confirmation message:

"You have been successfully unsubscribed from BHX Group SMS messages. No further messages will be sent. Reply START to re-subscribe at any time."

After this confirmation, no further SMS messages will be sent to your number from BHX Group.

Reply HELP to any BHX Group message for assistance. You may also contact us directly via the following:

Re-Subscribing

If you have opted out and wish to resume receiving messages, you may re-submit your consent via any BHX Group web form, or text START to our business SMS number. Your new opt-in will be logged and documented.

6Prohibited Uses

By using our website or services, you agree not to engage in any of the following:

  • Providing false, inaccurate, misleading, or fraudulent information on any BHX Group form or during any communication
  • Using our services for any unlawful purpose or in violation of any applicable law or regulation
  • Attempting to gain unauthorized access to our systems, servers, CRM, or client data
  • Reproducing, distributing, reselling, or reverse-engineering any BHX Group content, strategies, or deliverables without written permission
  • Submitting another person's phone number without their explicit, documented consent
  • Sending spam, unsolicited communications, or phishing messages using BHX Group infrastructure
  • Engaging in any activity that disrupts, degrades, or overloads our website, servers, or third-party tools
  • Impersonating BHX Group, its team members, or any other individual or business
🚫 BHX Group reserves the right to immediately terminate access to any service and pursue legal remedies against any user found to be in violation of these prohibitions.

7Payment & Billing

Services provided by BHX Group are subject to individual service agreements and pricing arrangements confirmed at the time of engagement. The following general terms apply:

  • All fees are agreed upon in writing prior to service commencement
  • Invoices are due within the timeframe specified in your service agreement (typically Net 7 or Net 15)
  • Late payments may result in service suspension until the outstanding balance is resolved
  • BHX Group reserves the right to adjust pricing with 30 days written notice for ongoing retainer clients
  • Refunds are handled on a case-by-case basis and are not guaranteed unless specified in a signed agreement
  • Ad spend paid directly to platforms (Google, Meta, etc.) is separate from BHX Group service fees and is non-refundable by BHX Group

8Intellectual Property

All content published on bhxgrp.com — including but not limited to text, graphics, logos, page layouts, ad copy, campaign strategies, workflow designs, and system architecture — is the exclusive property of BHX Group and is protected under applicable copyright, trademark, and intellectual property laws.

  • You may not copy, reproduce, distribute, publish, or create derivative works from any BHX Group content without prior written consent
  • Client deliverables created under a paid engagement (e.g., ad copy, landing pages, GHL workflows) are governed by the individual service agreement and may transfer ownership to the client upon full payment
  • BHX Group retains the right to use anonymized campaign data and results as portfolio references and case studies unless the client has signed a separate NDA

9Disclaimer of Warranties

BHX Group provides its website and all services on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, BHX Group expressly disclaims all warranties of any kind, whether express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Guarantees of specific marketing results, lead volume, conversion rates, or revenue outcomes
  • Uninterrupted, error-free, or secure operation of our website, tools, or third-party integrations
  • Accuracy, completeness, or reliability of any content, data, or recommendations provided
Marketing performance is influenced by many factors outside BHX Group's direct control, including market conditions, competition, platform algorithm changes, client response times, and client-side execution. No guarantee of specific results is made or implied.

10Limitation of Liability

To the maximum extent permitted by applicable law, BHX Group, its owners, employees, contractors, and agents shall not be liable for any of the following, whether arising from contract, tort, negligence, or otherwise:

  • Indirect, incidental, special, consequential, or punitive damages of any kind
  • Loss of revenue, profits, leads, business opportunities, or anticipated savings
  • Loss or corruption of data or unauthorized access to client accounts or systems
  • Third-party platform changes (e.g., Google algorithm updates, Meta policy changes, GHL outages) that impact campaign performance
  • Delays or failures in SMS message delivery caused by carrier networks or technical issues
  • Any damages resulting from your reliance on information provided on bhxgrp.com
In no event shall BHX Group's total cumulative liability to you exceed the total amount paid by you to BHX Group in the three (3) calendar months immediately preceding the event giving rise to the claim.

11Carrier Liability Disclaimer

⚠️ Mobile carriers (AT&T, Verizon, T-Mobile, and others) are not liable for delayed or undelivered SMS messages. Message delivery is subject to network availability, carrier transmission policies, and device compatibility.

BHX Group is not responsible for SMS delivery failures caused by:

  • Carrier network outages or technical errors
  • Incorrect or invalid phone numbers provided by the recipient
  • The recipient's device being turned off, out of range, or having a full message inbox
  • Carrier-level filtering of messages due to content or volume thresholds

12Governing Law & Disputes

These Terms and any disputes arising from or related to them shall be governed exclusively by the laws of the State of Maryland, United States, without regard to its conflict of law principles.

Dispute Resolution

In the event of a dispute, the parties agree to first attempt good-faith resolution through direct written communication. If the dispute is not resolved within 30 days of written notice, it shall be submitted to binding arbitration as follows:

  • Arbitration shall take place in Frederick County, Maryland
  • Proceedings shall be conducted under the rules of the American Arbitration Association (AAA)
  • The arbitrator's decision shall be final and binding on both parties
  • Each party shall bear its own legal costs unless the arbitrator rules otherwise

Class Action Waiver

By agreeing to these Terms, you waive any right to participate in a class action lawsuit or class-wide arbitration against BHX Group. All disputes must be brought on an individual basis only.

Jury Trial Waiver

Both parties waive any right to a jury trial in connection with any dispute arising from these Terms or BHX Group's services.

13Changes to These Terms

BHX Group reserves the right to update or modify these Terms at any time to reflect changes in our business practices, legal requirements, or carrier compliance standards. When material changes are made, we will:

  • Update the "Last Updated" date at the top of this page
  • Post a visible notice on bhxgrp.com
  • Notify active SMS subscribers via text message where required by carrier or regulatory guidelines

Your continued use of our website or services following any update constitutes your acceptance of the revised Terms. We encourage you to review this page periodically to stay informed.

If you do not agree to the revised Terms, you must discontinue use of our services and contact us to terminate any active engagement.
